Outsourcing & Legal Manager
Main purpose of job
Provide an effective legal service to IPF Digital group and identify, manage, and mitigate legal and regulatory risk. The Outsourcing & Legal Manager is mainly responsible for identifying, caring for, and mitigating the legal and regulatory risks with the e-money institution license and creditor license of IPF Digital AS and also for ensuring outsourcing related compliance.
The Outsourcing & Legal Manager shall ensure, by partnering with business, legal, and compliance departments, that our contracting arrangements are automated and lean, they comply with IPFD and regulatory requirements (EBA guidelines in the field of outsourcing) and ensure the implementation of the professional tool for contract and partner management.
Key accountabilities
• Act as the first point of contact for implementing the automated legal tech in IPFD regarding outsourcing, contracting and partner management process (in liaison with business, legal department, and other teams).
• In relation to partner management, draft/update pre-outsourcing analysis of the appropriateness and feasibility of outsourcing and its impact on business processes.
• Identify and raise legal risks associated with partner management or outsourcing arrangements, draft appropriate mitigative language to contracts and create and monitor action plans to address those risks through to completion.
• Assist business in setting out the appropriate performance and quality requirements for outsourcing activities, coordinate the rights and obligations between IPFD and service providers and build them into the contracting templates and outsourcing agreements.
• Report to the management board on the performance of legal operations and risks associated with the partner management and assist with regulatory communication, as needed.
• Assist in the updating of the IPFD’s Procedure for Outsourcing of Activities.
• Maintain the tool for partner management (in collaboration with relevant stakeholders within IPFD).
• Ensure appropriate plans are in place to manage and mitigate legal risks to the business.
• Ensure the timely provision of expert legal analysis and advice to inform decision-making as required by the business.
• Engage with other business functions to identify potential areas for advice and input.
• Understand applicable laws, regulations, and judicial decisions, and follow legislative changes that may affect the company and its customers, including and most importantly, from the perspective of maintenance of and compliance with the requirements of Estonian e-money and creditor license of IPF Digital AS.
• Ensuring that all employment and legal contracts for services are followed and secure correct documentation and processes are followed.
• Managing and mitigating legal compliance risks across IPF Digital group as directed, prioritizing effectively managing the regulatory risks and opportunities related to the Estonian e-money and creditor license.
• Effectively manage the regulatory communication, including, where appropriate, engaging and collaborating with other departments (such as Corporate Affairs), with the Estonian Financial Supervision Authority and other competent regulator of the e-money institution, and act as the main point of contact for regulatory related communication and represent the company with the regulators.
• Support the IPF Digital group business to enable compliance and optimization of business operations in areas such as regulatory compliance with the e-money and creditor license of IPF Digital AS, e-money and payment services related products, credit product development, consumer protection, data protection, etc.
• Support employees to develop their effectiveness in identifying and addressing potential legal issues.
Role Profile
• Active hands-on involvement in the development of best practice and a proactive approach to anticipating legal problems and providing solutions.
• Cooperation with and management of external legal partners in IPF Digital markets.
• Maintaining and updating the procedures and policies of IPF Digital group companies.
• Assisting in secretarial and corporate issues of IPF Digital AS as the regulated e-money institution.
• Making sure and adequately managing the support required for the everyday activities IPF Digital AS operations in all areas of legal work.
• Cooperation with legal team of the IPF group’s legal team based in UK.
• Act as the role model to promote appropriate risk culture and to take reasonable steps to raise regulatory awareness within the teams of IPF Digital, especially in relation to and concerning the requirements applicable to the e-money institution license.
Additional responsibilities may be added as the needs of the business change and expand.
